1. Acceptance of Terms
These Terms of Service ("Terms") form a binding agreement between you and Griiken ("we", "us", "IndiTrace"), the operator of the IndiTrace agricultural supply chain traceability platform available at inditrace.com and its subdomains (the "Service").
By creating an account, logging in, or using the Service in any way, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree with any part of these Terms, you must not access or use the Service.
If you use the Service on behalf of an organisation (such as a farmer producer organisation, company, cooperative, or trading business), you confirm that you are authorised to accept these Terms on its behalf, and that the organisation will be bound by them.
2. Definitions
- "Platform" means the IndiTrace web application, mobile web app, public trace pages, QR codes, APIs, and email or SMS notifications.
- "Organisation" means the entity (FPO, company, partnership, proprietorship, or similar) whose account you register or use.
- "Batch" means a lot of agricultural produce that you register on the Platform for traceability.
- "Batch Data" means all information, documents, and photographs you submit about a batch, its farmers, farms, processing steps, custody, and shipment.
- "Trace Page" means the public web page generated for a batch, accessible by scanning its QR code, which displays selected Batch Data to anyone.
- "Anchoring" means recording a cryptographic hash of Batch Data on the Polygon blockchain to make the record tamper-evident.
- "Plan" means a paid subscription tier that sets how many batches you can register per month and which features you can use.
3. The Service
IndiTrace provides:
- Registration and management of farmers, farms, products, and batches;
- Recording of the batch lifecycle — harvest, collection, processing, custody transfers, and dispatch — with actor and timestamp for every step;
- Blockchain anchoring of batch records on the Polygon network for tamper-evidence;
- Public Trace Pages and QR labels so your buyers and end consumers can verify a batch's history without an account;
- Photograph uploads, geolocation capture, buyer and shipment management, and team access controls;
- Email and SMS notifications related to your account and batches.
We may add, change, or remove features. Material reductions to a Plan you have paid for will entitle you to contact us about a proportionate remedy.
4. Eligibility and Accounts
You must be at least 18 years old to create an account. New organisations are subject to review and approval before the account becomes active; we may decline or revoke approval at our discretion.
You agree to:
- Provide accurate, current, and complete information about yourself and your Organisation, including any GST identification number used for invoices;
- Verify your phone number through the one-time password (OTP) we send;
- Maintain the confidentiality of your login credentials, and not share your account with others — invite teammates through the Platform instead;
- Accept responsibility for all activity that occurs under your account and your Organisation's accounts;
- Promptly notify us at contact@griiken.com if you suspect unauthorised access.
5. Your Data and Content
You retain ownership of all Batch Data, farmer records, photographs, and other content you submit ("Your Content"). You grant us a limited, non-exclusive, worldwide licence to host, store, reproduce, process, and display Your Content solely as needed to operate the Platform — including displaying selected Batch Data on public Trace Pages as you configure, and computing hashes of Batch Data for Anchoring.
You are solely responsible for Your Content. You represent that you have all rights and consents needed to submit it — in particular, consent from farmers and other individuals whose personal details (names, phone numbers, locations, photographs) you enter into the Platform.
You can export your data in standard formats from the Platform at any time while your account is active. See our Privacy Policy for how personal data is handled and deleted.
6. Blockchain Anchoring — Important
When a batch is anchored, please understand that:
- A cryptographic hash of the batch record — not the full record — is written to the public Polygon blockchain;
- Blockchain transactions are immutable: they cannot be edited, hidden, or deleted by us or anyone else, ever;
- Transaction details (hash, timestamp, contract address) are publicly readable by anyone;
- Even if your account is closed or data is deleted from the Platform, the on-chain hash and its timestamp remain permanently;
- Anchoring proves that a record existed at a time and has not been altered — it does not certify the truth, quality, safety, origin, or legality of the underlying produce or of statements you enter.
7. Public Trace Pages
Trace Pages are intentionally public: anyone who scans a batch's QR code or opens its link can view the batch information you have published, without an account. By publishing a batch, you acknowledge that its Trace Page contents become publicly accessible and may be indexed, shared, and archived by third parties. Review what you publish on each batch — including farmer names, locations, and photographs — before making it public.
8. Acceptable Use
You agree to use the Service only for lawful purposes. You will not:
- Enter false, misleading, or fraudulent information — including fake claims of organic certification, origin, or quality;
- Use the Platform to make claims about food safety, certification, or origin that you cannot substantiate;
- Submit personal data of farmers, workers, or other individuals without their consent, or collect it through the Platform in violation of applicable law;
- Infringe any intellectual property or privacy right;
- Transmit malware, attempt unauthorised access, probe or scan our infrastructure, or interfere with other users;
- Use the Service for spam or unsolicited commercial communication;
- Resell or commercially exploit access to the Platform without written authorisation;
- Reverse engineer the Service except as permitted by law;
- Use the Service in violation of applicable agricultural, food-safety, labour, or data-protection law, including (where applicable) FSSAI labelling requirements.
9. Plans, Payment, and Invoices
- Current Plan prices and batch limits are shown on our Pricing page. Prices are in Indian Rupees and exclusive of GST unless stated otherwise.
- Payments are processed by our third-party payment gateway (Cashfree). We do not collect or store your card numbers, UPI credentials, or netbanking passwords.
- A Plan payment activates the Plan for a 30-day period and grants the batch quota for that month as described on the Pricing page. Batches already registered remain accessible even after a Plan expires.
- A GST invoice for each payment is emailed to the organisation email address. You are responsible for providing a correct GSTIN if you want input credit.
- Refunds are handled case by case in line with applicable law: if the Service materially fails for a paid period, contact us and we will review a proportionate refund or extension. Unintentional duplicate payments are refunded in full on request.
- We may change prices for future purchases. Changes do not apply to a period you have already paid for.
10. Third-Party Services
The Service relies on third parties, including cloud hosting (Amazon Web Services), file storage (Supabase), payment processing (Cashfree), email delivery, SMS delivery, the Polygon blockchain network, and — on pages where you book a call with us — Calendly. Their own terms and privacy policies apply to your use of their components. We are not responsible for third-party service failures beyond our control, but we will use reasonable efforts to keep the Platform working.
11. Availability and Maintenance
We aim for high availability but do not guarantee uninterrupted service. The Service may be slow, degraded, or unavailable during maintenance, network failures, cloud-provider outages, or blockchain network congestion. Scheduled maintenance will be announced in the Platform where practicable. Nothing in these Terms excludes liability that cannot be excluded under law.
12. Suspension and Termination
You may stop using the Service and close your account at any time by contacting us. We may suspend or terminate your account, with or without notice, if you violate these Terms, fail to pay amounts due, misrepresent produce data in ways that harm consumers or the Platform's integrity, or if required by law.
On termination we will, on request and where legally able, make your exportable data available for a reasonable period. Public Trace Pages and blockchain anchors for already-published batches may persist as described in Sections 6 and 7.
13. Intellectual Property
The Platform — including its software, design, text, logos, and the IndiTrace name — is owned by us and our licensors and is protected by intellectual property law. These Terms grant you no rights in the Platform except the limited right to use it. "IndiTrace" and related marks are our trademarks; you may reference them truthfully to describe batches traced on the Platform (for example, "traced withIndiTrace"), but not in ways that suggest endorsement or partnership without written permission.
14. Disclaimers
The Service is provided on an "as is" and "as available" basis, without warranties of any kind, express or implied, including fitness for a particular purpose, non-infringement, or that the Service will be error-free or uninterrupted. To the fullest extent permitted by law, we disclaim warranties for: the accuracy of data entered by users; the quality, safety, or legality of any produce; the availability of the Polygon network; and any decisions you or third parties make based on Platform data.
Trace Pages and QR codes are verification aids, not certifications, and do not replace regulatory compliance, food-safety testing, or contractual inspection of goods.
15. Limitation of Liability
To the maximum extent permitted by applicable law, we will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, revenue, goodwill, data (other than as described in the Privacy Policy), business opportunities, or crop or produce losses, even if we have been advised of the possibility of such damages.
Our total aggregate liability for all claims arising out of or relating to the Service will not exceed the amount you paid us in the twelve (12) months immediately before the event giving rise to the claim.
Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or anything else that cannot be limited under Indian law.
16. Indemnity
You agree to indemnify and hold us harmless from claims, damages, losses, and expenses (including reasonable legal costs) arising from: Your Content; your violation of these Terms or applicable law; your use of Trace Pages or QR codes in connection with your produce; and infringement of third-party rights through your use of the Service.
17. Governing Law and Disputes
These Terms are governed by the laws of India, without regard to conflict-of-law rules. The courts at Pune, Maharashtra will have exclusive jurisdiction over disputes arising from these Terms, subject to your right to approach consumer forums or other fora with mandatory jurisdiction. Before filing a claim, we ask that you contact us at legal@griiken.com so we can try to resolve the matter directly — most issues are fixed fastest that way.
18. Changes to These Terms
We may update these Terms as the Service evolves. The "Last updated" date above will change and significant updates will be announced in the Platform or by email to organisation admins. Continued use after changes take effect means you accept the updated Terms.
